By accessing and using IndiaKwik's website, submitting a contact form, engaging our services, or entering into a project agreement with us, you agree to be bound by these Terms of Service and all applicable laws and regulations. 2. Services Description
IndiaKwik Technologies Pvt. Ltd. provides software development, cloud solutions, IT consulting, Cloud FinOps services, and corporate training services. The specific scope, deliverables, timelines, and pricing for each engagement are defined in individual Project Agreements or Statements of Work (SOW) executed between IndiaKwik and the client.
- All services are subject to a separate signed agreement before work commences.

- We reserve the right to modify or discontinue any service offering with reasonable notice.
3. Intellectual Property
All content on this website — including text, graphics, logos, icons, images, code, and software — is the property of IndiaKwik and is protected by applicable intellectual property laws.
Client Work: Upon full payment of all invoices, intellectual property rights for custom-developed software or deliverables are transferred to the client as specified in the individual project agreement. IndiaKwik retains the right to showcase non-confidential project work in our portfolio unless otherwise agreed in writing.
Pre-existing IP: Any pre-existing code, frameworks, libraries, or tools used in your project remain the property of IndiaKwik unless explicitly transferred via written agreement.
4. Client Responsibilities
To ensure successful project delivery, clients agree to:
- Provide accurate, complete, and timely project requirements, feedback, and approvals.
- Designate a primary point of contact with decision-making authority.
- Provide necessary access to systems, tools, and third-party services required for the project.
- Make payments according to the agreed payment schedule.
- Not use our services for unlawful, harmful, or deceptive activities.
5. Payment Terms
Payment terms are defined in each individual project agreement. Generally:
- Projects typically require an advance payment before commencement.
- Invoices are due within 15 days of issuance unless otherwise agreed.
- Late payments may incur interest charges as specified in the project agreement.
- Disputed invoices must be raised in writing within 7 days of receipt.
- IndiaKwik reserves the right to pause work on overdue accounts.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. IndiaKwik will sign a mutual Non-Disclosure Agreement (NDA) upon request before any sensitive project discussions. Confidentiality obligations survive the termination of any agreement for a period of 3 years.
7. Limitation of Liability
IndiaKwik's liability for any claim arising out of or related to our services shall not exceed the total fees paid by the client in the three months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
8. Warranties and Disclaimers
IndiaKwik warrants that services will be performed with professional care and skill in accordance with industry standards. All deliverables are provided with a 30-day warranty period for bug fixes following delivery, unless otherwise specified.
The website and its content are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose or non-infringement.
9. Termination
Either party may terminate a project agreement with 30 days written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. IndiaKwik may terminate immediately for non-payment or material breach of these terms.
10. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in India. We encourage dispute resolution through mutual negotiation before resorting to legal proceedings.
11. Amendments
IndiaKwik reserves the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes constitutes acceptance of the revised terms.
